A study of the UK upstream oil and gas workforce
Your access to the Report (defined as the Labour Market Intelligence report – ‘Fuelling the next generation: A study of the UK Upstream oil and gas workforce’ report prepared by Ernst & Young LLP (“EY”) in accordance with the Engagement Agreement between EY and The UK Oil & Gas Industry Association Ltd (“Oil & Gas UK”) dated 11 September 2014) is subject to your agreement, for and on behalf of the organisation you represent, to the terms and conditions set forth below. Please read them carefully. By clicking on the “Accept” button below, you confirm that you are authorised to enter into this agreement on behalf of your organisation and that you agree on behalf of your organisation that your organisation will comply with and be bound by these terms and conditions. Such acceptance and agreement shall be deemed to be as effective as a written signature provided manually by you, for and on behalf of your organisation, and shall be deemed to satisfy any requirements of any applicable law to create a legally enforceable contract, notwithstanding that the agreement is written and accepted electronically.
EY has agreed with Oil & Gas UK to allow access to the Reports on the condition that you (a “Third Party Recipient”) agree to the following:
1. EY prepared the Report exclusively for the benefit and use of Oil & Gas UK, and neither the Report nor any information or advice contained therein was intended to, nor may any of it, be relied upon in any way by anyone else, including the Third Party Recipient.
2. The Reports were prepared at the direction of and upon instructions from Oil & Gas UK and is limited to information obtained through work which Oil & Gas UK asked EY to perform, and may not include all procedures deemed necessary for the Third Party Recipient’s purposes. The work performed by EY does not constitute an audit, nor do the Reports provide any form of assurance about the information provided to EY. EY makes no representation or warranty regarding the sufficiency of the procedures or otherwise with respect to the Report.
3. The Third Party Recipient does not acquire any rights against EY, other EY Firms or its personnel as a result of its access to the Reports and EY does not assume any duties or obligations to the Third Party Recipient in connection therewith. The Third Party Recipient agrees not to bring, and hereby releases and discharges EY and its personnel from, any claims arising out of the Recipient’s access or relating in any way to the Reports or EY’s services for Oil & Gas UK in preparing the Reports.
4. The Third Party Recipient shall not summarise, distribute or disclose the Report, any portion thereof or any of the information or advice contained therein, in any other document or to any other person or entity without the prior written consent of EY. For the avoidance of doubt, this does not apply to disclosure of the Report when required to do so by applicable law (to include subpoena or other court order) or by a judicial, legislative, governmental or regulatory authority.
Should you choose to rely on the Report you do so at your own risk. EY will accordingly accept no responsibility or liability in respect of them to persons other than the addressee of the Report.
This agreement, and any non-contractual obligations arising out of or in connection with it, shall be governed by, and construed in accordance with, English law and any dispute arising out of this agreement (including all contractual and non-contractual obligations arising out of or in connection thereto) shall be subject to the exclusive jurisdiction of the English courts, to which both parties hereby agree to submit for these purposes.
